1. Introduction

Welcome to GrabOp.  May your journey begin today…

OK, nobody likes problems.  Life is so much easier to deal with and get through without headaches.  GrabOp is no different, we feel the same way.  So let’s just say that below is our Terms of Use Policy and if everyone reads and understands the terms below and agrees to comply and follow the terms below, everyone will be able to have a great problem-free experience with GrabOp.  GrabOp will be able to run without headaches, which in turn makes the experience available to our community all the better.  Life will be sweet for all of us.

2. Agreement

2.1

If you want to be a member of the GrabOp community, you need to agree to the following terms set by GrabOp.  Before you become a member of GrabOp, you must read and accept all of the terms and conditions in and linked to this User Agreement and GrabOp’s Privacy Policy.  If you have any questions, please refer to our Help section.  If you still have any questions, please contact Customer Support.

2.2

This Agreement is effective on August 4, 2012, for current users, and upon acceptance for new users.

2.3

This agreement was written in English. We may translate these Terms of Use into other languages for your convenience. Nevertheless, the English version governs your relationship with GrabOp, and any inconsistencies among the different versions will be resolved in favor of the English version.

2.4

General Terms

  1. We reserve the right to modify, update, or discontinue GrabOp services at our sole discretion, at any time, for any reason, and without notice or liability.
  2. We may provide you with notices, including those regarding changes to the Terms of Use by email, regular mail or communications through GrabOp’s site.
  3. The Terms of Use contain the entire agreement between you and GrabOp regarding the use of our services, and supersede any prior Agreement between on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms of Use.
  4. Any failure on GrabOp’s part to exercise or enforce any right or provision of the Terms of Use does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.
  5. If any provision of the Terms of Use is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms of Use shall otherwise remain in full force and effect and enforceable.
  6. The Terms of Use are not assignable, transferable or sub licensable by you except with GrabOp’s prior written consent, but may be assigned or transferred by us without restriction. Any assignment attempted to be made in violation of the Terms of Use shall be void.
  7. The section titles in the Terms of Use and Privacy Policy are for convenience only and have no legal or contractual effect

3. Amendments

3.1

We may amend this Agreement at any time.  When changes are made, we will notify you by making the revised version available on this webpage, and will indicate at the top of this page the date that revisions were last made. You should revisit these Terms of Use on a regular basis, as revised versions will be binding on you. Any such modification will be effective upon our posting of new Terms of Use. You understand and agree that your continued access to or use of GrabOp after any posted modification to the Terms of Use indicates your acceptance of the modification.

3.2

Unless otherwise stated, all amended terms will be effective 30 days after they are posted.

3.3

 This Agreement will not be amended in any other manner other than stated herein.

3.4

This Agreement sets forth the entire understanding and agreement between us with respect to the subject matter hereof. Only the amended content shall be subject to change at that time.

4. Prohibited

4.1

Prohibited Use

What you cannot and will not do on GrabOp:

  • Join our community or be a member if you don’t agree to accept and follow all of GrabOp’s terms and policies
  • Use our site if you are not able to form legally binding contracts, are under the age of 18, or are suspended from GrabOp
  • Copy, modify, or distribute any other person’s content
  • Post anything in an inappropriate category or area on GrabOp
  • Violate any laws in Canada, or where you reside or where you access GrabOp from
  • Violate any Third Party rights
  • Violate any of GrabOp’s policies including our Prohibited Items
  • Be false or misleading 
  • Post false, inaccurate, misleading, defamatory, or libelous content (including personal information)
  • Distribute or contain spam, chain letters, or pyramid schemes
  • Copy, modify, or distribute any other person’s content
  • Distribute viruses or any other technologies that may harm GrabOp or the interests or property of GrabOp users
  • Interfere with the proper working of the GrabOp in any way
  • Bypass measures used to prevent or restrict access to GrabOp.
  • Collect any information or email addresses of others without their consent
  • Use any means to collect content from GrabOp for any purpose without our written permission
  • Fail to deliver payment for items purchased by you or services rendered to if the seller, unless the seller has failed to meet GrabOp’s terms and policies or failed to provide an item or service, or you cannot authenticate the seller’s identity
  • Fail to deliver items or services purchased from you, unless the buyer fails to meet GrabOp’s terms and policies, or you cannot authenticate the buyer’s identity;
  • Manipulate the price or listing of any item
  • Interfere with other user’s listings
  • Circumvent or manipulate GrabOp’s fee structure, billing process, or fees owed to GrabOp
  • Take any action that may undermine the user feedback or rating system (such as displaying, importing or exporting feedback information or using it for purposes unrelated to GrabOp)
  • Transfer your GrabOp account or any part of it to another person
  • Copy, modify, or distribute content from the GrabOp site which is copy written or trademarked
  • Posting content that contains adult, mature or erotic content. 
  • Posting content that defames anyone or contains “hate speech”.
  • Any services or products that are illegal to own or trade
  • Bullying or other intimidating or aggressive behavior amongst other users

4.2

Prohibited Items

The following items are restricted from GrabOp’s site and community:

  • Any item or service that is prohibited in Canada (to own, buy, sell, trade or service)
  • Adult or Erotic Products
  • Adult or Erotic Services
  • Alcoholic Beverages
  • Baby Items:  Walkers, Car Seats manufactured prior to January 1st, 2012
  • Blood, Bodily Fluids and Body Parts
  • Burglary Tools
  • Any Counterfeit Products including currency
  • Electronic Surveillance Equipment designed or used primarily for illegal use, information collection, spying or interception/record without permission  
  • Embargoed Goods
  • Escort or accompanying services
  • Government and Transit Uniforms, IDs and Licenses
  • Health or weight loss products that have not been approved by Heath Canada
  • Illegal Drugs & Drug Paraphernalia
  • Illegal Services
  • Hazardous Materials
  • Fireworks, Destructive Devices and Explosives
  • Identity Documents, Personal Information or Records in any form
  • Items which encourage or facilitate illegal activity 
  • Lottery Tickets, Sweepstakes Entries and Slot Machines
  • Massage Services
  • Child Pornography
  • Obscene Material
  • Offensive Material
  • Items or services  or organizations that portray or promote hatred, violence, racial, sexual or religious intolerance or that promote or glorify hatred, violence, racial, sexual, or religious intolerance, or promote organizations with such views.
  • Pesticides
  • Pictures or images that contain nudity
  • Government or Police Badges and Uniforms
  • Prescription Drugs and Devices containing drugs
  • Prostitution or ads that offer sex, sexual favours or sexual actions
  • Recalled items
  • Satellite products that violate the Radio communication Act
  • Sexual services, including webcamming
  • Solicitation of other users except by placing an Ad
  • Stolen Property
  • Taxidermied Animals, Human remains, Grave-related items and artifacts
  • Tobacco Products
  • Weapons and related items (such as firearms, firearm parts and magazines, ammunition, BB and pellet guns, tear gas, stun guns, knives, archery equipment, and martial arts)

4.3

Prohibited Services

The following services are prohibited to offer or wish on GrabOp:

  • Multi-level marketing jobs where recruitment of other members is part of the compensation
  • Pyramid schemes or jobs that require upfront or periodic payments
  • Jobs that pay only commissions, unless the Ad makes it clear that the sole source of compensation would be commission and clearly describes the product or service that would be sold
  • Jobs that require recruitment of other members, distributors or agents
  • Jobs that involve sexual activities
  • Ads that are not clear regarding what type of work would be require

Any service that is prohibited in Canada or where you live or where you access GrabOp

5. Abuse

5.1

GrabOp wants our community of users to have a safe, positive experience.  If you suspect any problems, offensive content, policy violations, violation of your rights (whether they be copyrights or personal) or other abusive use of GrabOp and our community’s policies, please let us know.  Use our “Report Abuse” notification system or Contact Us to ensure GrabOp works safely for everyone.

5.2

In response to abuse and violations of GrabOp’s terms and policies, we reserve the right to limit, suspend, terminate, prohibit, delay or remove our service, content, user accounts, and hosted accounts.

5.3

GrabOp reserves the right to use technical and legal means to prevent those which we think are creating problems, acting in a manner that is inconsistent with GrabOp’s mission and spirit, or acting in a manner that is problematic to other GrabOp users, from using GrabOp and to keep them off GrabOp.

5.4

GrabOp reserves the right to cancel unconfirmed or suspicious accounts.

5.5

In taking any of the above stated steps in our Terms of Use to keep GrabOp safe according to our Agreement terms, we are not liable for monitoring GrabOp for unauthorized use, unlawful content, or violation of GrabOp policies on GrabOp or use of GrabOp by users.

6. Liability

6.1

GrabOp is not responsible for the content, listings, posts or actions of users.  Therefore, we cannot guarantee accuracy, communication, quality, safety, or legality of what is posted, listed or offered on our site. 

6.2                                                                        

Although we do our best to provide you with the safest, most accurate and reliable GrabOp possible, we cannot be held liable for monitoring GrabOp’s content or users and/or keeping you safe from content or users that GrabOp deems is in violation  with our terms and policies.  You agree to therefore not hold us responsible. We also cannot guarantee continuous or secure access to our services.

6.3

With regard to products and services, we disclaim and are not held responsible for any warranties, descriptions, qualities, workmanship or authenticity.

6.4

We are not liable for any loss (monetary or other) or damages occurred through your use of GrabOp.  We are not involved in any transactions between our GrabOp users.

6.5 In taking any of the above stated steps in our Terms of Use to keep GrabOp safe according to our Agreement terms, we are not liable for monitoring GrabOp for unauthorized use, unlawful content, or violation of GrabOp policies on GrabOp or use of GrabOp by users.

7. Fees and Services

Joining GrabOp and becoming part of our community is free.

7.1 

If you use one of GrabOp’s Fee Services, such as the Guaranteed Service Fee, you will be permitted to review that charge before accepting.

7.2

All of GrabOp’s fees are in Canadian dollars, are subject to change, and are non-refundable.

7.3

You accept that your GrabOp account is subject to temporary suspension or limitations if you do not pay your fees.

8. Content

8.1

When we get content from you, we are granted a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable right to exercise the copyright, publicity, and database rights you have in all content we receive from you, in any current or future media.

8.2

GrabOp reserves the right to remove content that violates the rights, copyrights and trademarks of other parties.

8.3

To report any content and rights violations, please contact Customer Support.

9. Release

GrabOp is released form any claims, demands, and damages of any kind and nature that arise from disputes you may have or are connected in between and with any GrabOp users.  

10. Personal Information

10.1

You agree that GrabOp can collect, transfer, store and use your personal information through our GrabOp Company and affiliate developers on servers located in Canada and on-site with our GrabOp development team.  See our Privacy Policy for further description

10.2

Your privacy is important to us.  It is your right. GrabOp does not sell or rent your personal information to any Third Parties for marketing purposes without your knowledge and consent.  See our Privacy Policy for further description.

10.3

Your information is only used as stated in GrabOp’s Privacy Policy.  You can access, view and change your personal information as deemed necessary through your account.   

11. Indemnity

If you breach any terms or policies, any claims or demands held against you or attorney fees that may arise from such behavior are not in any way connected to or the responsibility of GrabOp.

12. Your Privacy – GrabOp’s Privacy Policy

12.1

When you register with GrabOp, by accepting GrabOp’s Terms of Use and Privacy Policy you are consenting to allow GrabOp to collect, store and disclose your personal information as described in this Privacy Policy.

12.2

GrabOp’s Privacy Policy is effective on August 4, 2012, for current users, and upon acceptance for new users.

12.3

This Privacy Policy was written in English. To the extent any translated version of this agreement conflicts with the English version, the English version controls.

We may translate these Terms of Service into other languages for your convenience. Nevertheless, the English version governs your relationship with GrabOp, and any inconsistencies among the different versions will be resolved in favor of the English version.

12.4

GrabOp may amend this Privacy Policy at any time, and will do so by posting the amended terms on this site as well as our home page. 

12.5

Unless otherwise stated, all amended terms will be effective 30 days after they are posted.

GrabOp reserves the right to make changes to this Privacy Policy from time to time. Any changes will take effect immediately for new users and upon the expiration of thirty (30) days after notification for current users. Any use of GrabOp’s services after the thirty (30) day notice period constitutes your acceptance of any change.

12.6

Collection of Your Personal Information

Once you have registered with GrabOp, we may collect and store the following personal information

  • Personal, physical and demographic information such as and including name, gender, age, email address, phone numbers, location and (depending on the service used) sometimes financial information (including credit card and billing information)
  • computer sign-on data (login, password and security information), GrabOp activity statistics, IP address, contact lists
  • transactional information based on  your transactions through GrabOp, such as buying, selling and trading
  • shipping and billing information
  • Access to Third Party services and content shared with Third Parties
  • Communication, correspondence and feedback; GrabOp stores your communications with us including your feedback and correspondence so that we can effectively respond to you.

12.7

Use and Disclosure of Your Personal Information

GrabOp does not sell trade or rent your personal information. We respect your privacy and believe it is your right.

Our main goal in collecting your personal information is to make GrabOp work well for everyone, and to ensure the best experience possible for you with GrabOp.

When you agree to GrabOp’s Terms of Use and Privacy Policy, you are agreeing that GrabOp may use your personal information to:

  • provide GrabOp services to you
  • provide accurate Customer Support for you
  • smoothly enforce GrabOp’s policies including security, content, enforcement, dispute resolution and troubleshooting
  • conduct fee and non-fee transactions
  • customize GrabOp’s experience for you through services and advertisements
  • collect and compare data information to enhance GrabOp’s services
  • deliver targeted marketing and promotions to you
  • communicate with you
  • respond to claims of privacy, property, content and/or safety violations

We use your information to improve and personalize our services, content and advertising for you.

We may share information with law enforcement and others to keep GrabOp members safe.

We may share information with our service providers working with GrabOp to provide our community a great overall experience

We may disclose your personal information for the following reasons:

  • legal requirements, law enforcement and criminal investigations (upon subpoena, court order or warrant, unless otherwise legally warranted)
  • policy enforcement and violation claims
  • security and protection of anyone’s rights, property or safety
  • business operations and service provisions
  • Third Party advertising. Third Parties serve some of the ads on GrabOp. We do not send any individualized personal information to them. Note that we do not rent, share, sell or trade personally identifiable information with Third Parties for their direct marketing purposes.
  • Third Party service providers. We may use Third Parties to provide technical and customer support, perform tracking and reporting functions, conduct quality assurance testing, perform payment processing and provide other services in connection with GrabOp services. We may share information about you with them so that they can perform the services they are required to perform, but they are not permitted to use your personal information other than to provide the services requested by you.
  • Aggregate information. We may share non-personal information in the aggregate to Third Parties relating to user behavior in connection with actual or prospective business relationship with those Third Parties, such as advertisers and content distributors. For example, we may disclose the number of users that have been exposed to, or clicked on, advertising banners.
  • Business transfers. We may share your information with our parent company, subsidiaries, joint ventures, or other companies under a common control that we may have now or in the future, in which case we will require them to honour this Statement. If another company acquires our company or all or substantially all of our assets, that company will possess your information, and will assume the rights and obligations with respect to that information as described in this policy.

12.8

Viewing and Changing Your Personal Information

You may view, review and modify some of your personal information, posts, listings and account information with GrabOp through your Profile page on GrabOp.  In addition, you may contact Customer Support for change requests.  It is your responsibility to keep your personal and account information up to date and accurate.

GrabOp keeps all member personal information records, new and old, for retrieval purposes according to law.  GrabOp keeps this information to uphold and enforce provincial and federal laws, enforce GrabOp policies and purposes associated with dispute resolutions, collect fees and troubleshooting. 

12.9

Cookies

What are “Cookies”?

Cookies are small files that are stored on your computer’s hard drive that contain pairs of information called “values”.  They are designed to hold specific data that is particular to a client and website, which can be accessed by either the web server or the client computer.  Once the cookie has been read by the code on the server or client computer, those values (data information) can be retrieved.  Once retrieved, GrabOp can use this information to customize the GrabOp experience appropriately and deliver a site tailored to the community’s individual specific needs.

Why do we use cookies?

Cookies are a convenient and efficient way to identify, retrieve and store information about an individual user without over-burdening the server with massive amounts of data storage.

Cookies and Privacy

Cookies in general do not pose a threat to privacy since the only information they hold is information you have already provided to GrabOp on your own.  Most cookies are automatically deleted from your hard drive each time you logout of GrabOp (called “session” cookies). If you are still unsure about this whole “cookie” issue, you are always free to decline cookies received from GrabOp, although please note this may disrupt some of the features on GrabOp available to you.

How GrabOp Uses Cookies

GrabOp may use cookies for the following reasons:

  • Statistics and analysis of web page flow
  • To customize content and services based on community and user information
  • To increase security and privacy
  • To measure advertisement effectiveness
  • To identify users and maintain their login status

12.10

Third Party

The GrabOp website may include links to other websites or applications (each, a “Third Party” site). We do not control or endorse any Third Party sites. You agree that we are not responsible for the availability or contents of such Third Party sites. Your use of Third Party sites is at your own discretion.

Cookies and Third Parties

GrabOp may work with some Third Parties (such as advertising partners) to use cookies for the analysis of ad effectiveness, traffic and user demographics.  This helps GrabOp customize content and services and tailor to your specific needs of each member.  All information received by the Third Parties shall remain anonymous and GrabOp does not allow these companies to collect any of your personal information.

You may encounter cookies from other users and/or Third Parties on their own web sites.  GrabOp does not control the use of cookies on Third Party sites and cannot be held responsible for information you provide to those Third Parties while on their pages.

12.11

Advertising

GrabOp and its licensees may publicly display advertisements and other information adjacent to or included with your personal information. You are not entitled to any compensation for such advertisements. The manner, mode and extent of such advertising are subject to change without specific notice to you.

GrabOp does not sell or rent your personal information to any Third Parties for marketing purposes without your knowledge and consent. 

12.12

Protecting Your Information

GrabOp follows all industry standards to protect your personal information (passwords, encryption, server security, physical security), both during transmission and once we receive it. However, no method of transmission over the internet or electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee absolute security.

Protect your password.  Do not disclose or share your password or other personal information to anyone.  Remember that you are responsible for all actions and activities associated with your GrabOp account.  You are also legally responsible and can be subject to legally binding actions taken on your behalf.  If you feel your personal information has been compromised by anyone in any way for any reason, you should contact GrabOp right away.

12.13

Prohibited / No Tolerance

What you cannot and will not do on GrabOp:

There is no tolerance for objectional content or abusive users. Users will be blocked for the following reasons While using GrabOp, you will not:

  • Join our community or be a member if you don’t agree to accept and follow all of GrabOp’s terms and policies
  • Use our site if you are not able to form legally binding contracts, are under the age of 18, or are suspended from GrabOp
  • Copy, modify, or distribute any other person’s content
  • Post anything in an inappropriate category or area on GrabOp
  • Violate any laws in Canada, or where you reside or where you access GrabOp from
  • Violate any Third Party rights
  • Violate any of GrabOp’s policies including our Prohibited Items

13.1

Feedback

By sending us any ideas, suggestions, documents or proposals (“Feedback”), you agree that:

  • your Feedback does not contain the confidential or proprietary information of Third Parties
  • GrabOp is under no obligation of confidentiality, express or implied, with respect to the Feedback
  • GrabOp may have something similar to the Feedback already under consideration or in development
  • You grant GrabOp an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback given to us.

13.2

Dispute Resolutions
